Professor Jesse Fried identifies problems with the stock-based compensation arrangements used in public companies, and suggest how boards seeking to improve executives' incentives and increase long-term shareholder value can better structure these arrangements. Citing research that he gathered for his critically-acclaimed book: Pay without Performance: The Unfulfilled Promise of Executive Compensation, Professor Fried will discuss how to maximize the cost-effectiveness of different stock plans and how to assure that they truly pay for performance.
