John Grosvenor of Manatt, Phelps, & Phillips, LLP will review recent M & A developments important to board members.  John is a seasoned practitioner who has advised boards and companies on both sides of the transactions.  He will discuss the most recent ruling by Chancellor Chandler in the soon-to-become famous case of Cerberus versus United Rentals.  What does it mean to write a contract with opposing clauses?  Is a breakup fee a good guarantee that the transaction will be completed?  How do you understand your future partner’s intentions to complete the transaction?  What does the infamous MAC (Material Adverse Change) clause mean?

   

Charles Ruck from Latham & Watkins LLP will discuss the current landscape of shareholder activism.  If shareholder activism is not rampant in OC as yet, it is coming soon.  How far will this activism go?  Is this a temporary phenomenon that periodically erupts and then dissipates, or is it here to stay?  Should OC board members be ready to give up some of their “rights” to activists?  Should investors choose who becomes a Board member?  Should active shareholders determine the compensation of the CEO?  You will get answers (or at least thought starters) on many of these questions.
